Terms and conditions of the agreement

ShepHertz's assurance

We will make best efforts to provide our services. Usage of our services or products by you is at your sole discretion; please satisfy yourself fully regarding suitability for your use case.

Your obligations and commitments

a) Account security. If you create an account or use services on the Website, you are solely responsible for maintaining the security of the account and all activities conducted through it. ShepHertz is not responsible for omissions or commissions, including damages resulting from your acts. You must promptly notify ShepHertz of any unauthorized use or security breach.

b) Responsibility of contributors. You are entirely responsible for any material, links, messages, comments, feedback, code, or similar content you post, and any harm arising from it. You must ensure that your content and conduct do not violate applicable law or infringe others' rights. You shall ensure that:

• Downloading, copying, or use of content does not infringe proprietary rights (including copyright, patent, trademark, or trade secrets) of any third party;
• If your employer has rights to intellectual property you create, you have permission to post the content or a waiver from your employer;
• You have complied with third-party licenses relating to the content;
• The content does not contain or install viruses, worms, malware, Trojan horses, or other harmful content;
• The content is not spam or unethical commercial content designed to drive traffic to third-party sites, boost third-party rankings, or further unlawful acts (such as phishing) or mislead recipients as to the source;
• The content is not pornographic and does not contain threats or incite violence, and does not violate privacy or publicity rights of third parties.

Without limiting the above, ShepHertz may, in its sole discretion: (i) refuse or remove content that violates ShepHertz policy or is harmful or objectionable; or (ii) terminate or deny access to the Website for any individual or entity. ShepHertz is under no obligation to refund amounts previously paid if it takes such steps.

c) Intellectual property. This agreement does not transfer any ShepHertz or third-party intellectual property rights to you.

d) Changes. ShepHertz may modify or replace any part of this Agreement at its sole discretion. You should review this Agreement periodically. Continued use after changes constitutes acceptance. New services or features may be subject to this Agreement or modified terms.

e) Termination. ShepHertz may terminate your access to all or any part of the Website and subdomains at any time, with or without cause or notice, effective immediately. To terminate your account, you may discontinue using the Website where applicable.

f) Disclaimer of warranties. The Website and services are provided on an "as is" basis. ShepHertz and its suppliers and licensors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. No warranty is made that the Website will be error-free or that access will be continuous or uninterrupted. Use of downloaded or obtained content is at your discretion and risk.

g) Limitation of liability. ShepHertz, its suppliers, licensors, and associates shall not be liable for claims including: (i) special, incidental, or consequential damages; (ii) cost of substitute products or services; (iii) interruption of use or loss or corruption of data; or (iv) any other reason.

h) General representation and warranty. You represent and warrant that:

• Your use of the Website will comply with the ShepHertz Privacy Policy, this Agreement, and all applicable laws and regulations (including laws regarding online conduct, acceptable content, and transmission of technical data from the United States or your country of residence).
• Your use will not infringe or misappropriate intellectual property rights of any third party.

i) Indemnification. You agree to indemnify and hold harmless ShepHertz, its contractors, licensors, and their directors, officers, employees, and agents from claims and expenses (including attorneys' fees) arising out of your use of the Website, including violations of this Agreement.

j) Jurisdiction. For disputes arising out of or relating to this agreement, courts in India shall have jurisdiction.
